Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern the use of services provided by CornerClicks LLC (“CornerClicks,” “we,” “us,” “our”). By using our services or paying any invoice issued by CornerClicks, you agree to these Terms in full.

2. Services Offered

We provide a variety of digital marketing and web services for local businesses, including but not limited to:

  • Monthly Marketing Plans (Get Started, Get Found, Stay Ahead, Own Your Market)
  • Content Expansion Plans
  • Website Design & Development (one-time and included in monthly plans)
  • Local SEO
  • Google Business Profile Management
  • Paid Advertising (Google Ads, Microsoft Advertising)
  • Social Media Management
  • Content Development (service pages, blog posts, location pages)
  • Business Branding (logo design, visual identity, marketing materials)
  • Website Hosting & Maintenance
  • Branding
  • Web Hosting
  • Website Security
  • Website Speed Optimization
  • Business Email Setup
  • Copywriting
  • Photography
  • Videography

Specific deliverables for each service are detailed in the relevant sections below and in any written proposal or invoice provided to the client.

3. Payment Terms

Payment is due upon receipt of invoice. For monthly services, a 30-day written cancellation notice is required prior to the next billing cycle. For one-time services, payment plans may be available upon request.

We do not require long-term contracts. Clients may cancel monthly services at any time with 30 days’ written notice. All fees paid prior to cancellation are non-refundable.

Prepay discounts are available: a 6-month prepay saves the equivalent of one half-month of service; an annual prepay saves the equivalent of two full months. Prepay amounts are non-refundable if service is cancelled before the prepay period concludes.

Ad spend included in monthly plans is funded directly by the client to Google Ads and/or Microsoft Advertising. It never passes through CornerClicks. CornerClicks is not responsible for charges incurred directly on client ad accounts.

4. Service Delivery

We commit to delivering the services outlined in each plan, proposal, or invoice. Delivery timelines, page production schedules, and campaign launch dates will be communicated to the client during onboarding and at the start of each billing period.

We are not responsible for the client’s internal business operations, customer data, or actions taken by third parties against the client’s business. For example, while we may set up contact forms or payment portal integrations, we are not responsible for the security or accuracy of data submitted through those tools by the client’s customers.

5. Client Responsibilities

Clients must provide accurate and complete information necessary for us to perform our services, including but not limited to business details, login credentials, brand assets, photos, pricing information, and service descriptions.

Clients are responsible for reviewing all content created by CornerClicks for accuracy, compliance with industry regulations, and alignment with their business practices within the specified review timeframe (see Section 6.5).

Clients are responsible for maintaining access to their own domain registrar, hosting accounts (where applicable), Google accounts, and advertising accounts. CornerClicks is not responsible for access loss due to client-side account issues.

6. Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount paid by the client for the service in question during the billing period in which the issue arose.

6.5 Content Accuracy & Client Review Responsibility

Client Responsibility for Content Accuracy

While CornerClicks strives to create high-quality, professional content for your business, clients acknowledge and agree that:

  • Specialized Knowledge: CornerClicks is not licensed or certified in your specific industry (medical, legal, insurance, financial services, public adjusting, etc.). We create content based on general research and information you provide, but we are not experts in your field.
  • Review Requirement: Clients are solely responsible for reviewing all content, copy, service descriptions, pricing, procedures, and any other information we create to ensure accuracy, compliance with industry regulations, and alignment with your business practices.
  • Approval Process: When we deliver content for review (via email, text, shared documents, or live page links), clients have 5 business days to review and request changes. If we do not receive feedback within this timeframe, we will proceed with publishing or implementing the content as delivered. Silence or lack of response constitutes approval to proceed.
  • Post-Publication Changes: If inaccuracies are discovered after content is published, we will make reasonable efforts to correct them as part of our ongoing service. However, CornerClicks is not liable for any consequences resulting from inaccurate information that was provided for client review and not corrected within the review window.
  • Industry Compliance: Clients are responsible for ensuring all content complies with industry-specific regulations, licensing requirements, professional standards, and legal obligations. This includes but is not limited to medical claims and HIPAA requirements, financial advice disclaimers, legal service limitations, insurance licensing requirements, and public adjusting regulations.

Limitation of Liability:

CornerClicks is not responsible for:

  • Errors in technical, medical, legal, financial, or other specialized information
  • Regulatory or compliance violations resulting from published content
  • Business consequences from inaccurate service descriptions, pricing, or procedures
  • Client failure to review and approve content within the specified timeframe
  • Any claims, damages, or legal actions arising from content accuracy issues

By using our services, clients acknowledge they have final responsibility for all content published on their behalf and agree to indemnify CornerClicks from any claims related to content accuracy.

7. Monthly Marketing Plans

We offer four monthly plan tiers. All plans are month-to-month with no long-term contracts. Month one of any plan is a setup month; paid advertising campaigns launch in month two once the client’s digital foundation is in place.

All plans include a custom WordPress website built progressively over time, website hosting, SSL security, daily backups, spam protection, and professional business email at the client’s domain.

7.1 Get Started — $650/month

Designed for new businesses and sole proprietors getting established online.

Includes:

  • Custom homepage built in month one, then one new page per month
  • Google Ads and Microsoft Advertising campaigns ($150/month goes directly to ad spend)
  • Google Business Profile setup and optimization
  • One GBP post per week
  • Google review responses
  • Basic local SEO and schema markup on every page
  • Website hosting, SSL security, daily backups
  • Business email at client’s domain
  • Ongoing website maintenance and support

Limitation of Liability: While we strive to deliver measurable results, we are not responsible for changes in Google’s or Microsoft’s algorithms, advertising policies, or platform interfaces that affect campaign performance or search rankings. All content created under this plan is subject to the client review requirements in Section 6.5.

7.2 Get Found — $950/month

For local businesses ready to expand their visibility and compete more aggressively in local search.

Includes everything in Get Started, plus:

  • Two new pages or blog posts per month
  • Google Ads and Microsoft Advertising campaigns ($200/month goes directly to ad spend)
  • Two GBP posts per week with custom branded graphics
  • Advanced local SEO plus competitor analysis
  • Bing Places setup and management
  • Review responses across Google

Limitation of Liability: Same as Section 7.1. All content is subject to Section 6.5.

7.3 Stay Ahead — $1,250/month

For established businesses that want to compete across every major channel.

Includes everything in Get Found, plus:

  • Three new pages or blog posts per month
  • Google Ads and Microsoft Advertising campaigns ($300/month goes directly to ad spend)
  • Two to three GBP posts per week with custom branded graphics
  • Full Bing Places management
  • Reputation management across Google, Yelp, and Facebook
  • Social media cross-posting to two platforms
  • Full branding package (logo, business cards, social banners)

Limitation of Liability: Same as Section 7.1. We are not responsible for changes in social media platform policies or algorithms that affect visibility or engagement. All content is subject to Section 6.5.

7.4 Own Your Market — $2,000/month

For businesses serious about becoming the dominant online presence in their market.

Includes everything in Stay Ahead, plus:

  • Five or more new pages per month
  • Google Ads and Microsoft Advertising campaigns ($500/month goes directly to ad spend)
  • Full competitor analysis and content architecture plan
  • 100-plus page content roadmap built in month one
  • Monthly strategy call
  • Priority supportFull branding package (logo, business cards, social banners)

Limitation of Liability: Same as Section 7.1. All content is subject to Section 6.5.

8. Content Expansion Plans

Content Expansion Plans are add-on services available to clients on any monthly plan who have a completed foundation site of at least five pages. A six-month minimum commitment applies to all Content Expansion Plans. All content produced remains the client’s property regardless of plan status.

Content Expansion Plans provide dedicated page production in addition to what is included in the client’s base monthly plan. All pages are researched, written for search engine visibility and human readability, and structured to support the client’s overall digital presence.

Clients requiring 20 or more pages per month should contact CornerClicks directly for a custom content strategy.

Limitation of Liability: All content produced under Content Expansion Plans is subject to the client review requirements in Section 6.5. CornerClicks is not responsible for search ranking outcomes, which are influenced by factors outside our control including algorithm changes and competitive market conditions.

9. Standalone Website Builds

We build standalone WordPress websites as one-time projects for clients who are not yet ready for a monthly plan.

9.1 One-Page Website — Starting at $1,500 (one-time)

A clean, professional single-page website covering everything a customer needs to know about the business. Includes custom design, mobile optimization, basic SEO, business email setup, and hosting configuration.

9.2 Five-Page Website — Starting at $3,500 (one-time)

A full custom WordPress site with homepage, about page, service pages, and contact page. Includes deeper SEO setup, Google Business Profile configuration, and a site structure designed to expand over time.

9.3 Ongoing Maintenance for Standalone Builds — $125/month

Clients who complete a one-time build may add website hosting, security monitoring, daily backups, plugin updates, and ongoing support for $125/month. This keeps the site current, secure, and running without the client needing to manage it.

Client Responsibilities: Clients must provide accurate and complete information, photos, content, and business details needed for the build. Website content is subject to the review requirements in Section 6.5. CornerClicks is not responsible for changes in search engine algorithms after the site is launched.

Limitation of Liability: While we strive to create professional, high-performing websites, we are not responsible for changes in search engine algorithms that may affect rankings after launch. Content accuracy is the client’s responsibility per Section 6.5. We are not responsible for issues arising from third-party plugins or integrations beyond our control.

10. Google Business Profile Management

Our Google Business Profile Management service ensures your business appears prominently in local search results and on Google Maps. Included in all monthly plans.

Services include:

  • Profile setup and full optimization (categories, service descriptions, hours, attributes, service areas)
  • Weekly posts to keep the profile active and relevant
  • Photo updates and management
  • Review monitoring and professional responses on behalf of the client
  • Q&A monitoring and management (Stay Ahead and above)
  • Accuracy monitoring for unauthorized third-party edits
  • Bing Places setup and management (Get Found and above)

Client Responsibilities: Clients must provide accurate business information, photos, and any details needed for profile setup and ongoing management. Review responses are written in the client’s voice based on information provided by the client.

Limitation of Liability:

  • We are not responsible for Google’s algorithms, platform changes, or decisions by Google that may affect profile visibility or ranking.
  • We are not responsible for legal implications arising from review content written by the client’s customers.
  • All content created for the profile (posts, descriptions, review responses) is subject to Section 6.5.
  • We are not responsible for actions taken by third parties, including unethical competitors or spam activity.

11. Reputation Management

Our Reputation Management service helps clients build, monitor, and protect their online reputation across Google, Yelp, and Facebook. Included at varying levels across monthly plans.

Services include:

  • Review monitoring across Google, Yelp, and Facebook
  • Professional review responses written in the client’s voice
  • Review generation strategy and process setup
  • Negative review handling and policy violation reporting (where applicable)
  • Monthly reputation reporting (Stay Ahead and above)

Client Responsibilities: Clients must provide accurate information for review responses and cooperate with the review generation process. Clients understand that CornerClicks cannot guarantee removal of any review, including negative reviews, as platform removal decisions are made solely by the platform.

Limitation of Liability:

  • We are not responsible for changes in platform policies or algorithms that affect review visibility or business ranking.
  • We cannot guarantee the removal of any review, including reviews that may violate platform policies.
  • All content created for reputation management is subject to Section 6.5.
  • We are not responsible for actions taken by third parties, including competitors or users on review platforms.

12. Local SEO

Local SEO services are built into every monthly plan and include ongoing technical optimization, content production, and citation management designed to improve the client’s visibility in local search results.

Services include:

  • Technical SEO setup (site structure, heading hierarchy, schema markup, XML sitemaps, clean URLs)
  • On-page optimization of all pages produced under the plan
  • Local business schema markup on every page
  • Local citation building and directory management
  • Keyword research and competitor analysis
  • Google Search Console and Bing Webmaster Tools setup and monitoring
  • New page production each month targeting specific local search queries (volume scales with plan tier)

Limitation of Liability:

  • While we strive to improve search rankings, we are not responsible for changes in search engine algorithms or competitive market conditions that affect ranking outcomes.
  • SEO results develop over time and are not guaranteed within any specific timeframe.
  • All content created for SEO purposes is subject to Section 6.5.
  • We are not responsible for actions taken by third parties, including backlinks from unethical sources.

13. Paid Advertising

Paid advertising campaign management is included in all monthly plans. Ad spend goes directly from the client to Google Ads and Microsoft Advertising and never passes through CornerClicks.

Service Services include:

Hosting Only Service Details:

  • Campaign setup and structure
  • Keyword research and audience targeting
  • Ad copywriting and creative
  • Ongoing campaign management and optimization
  • Performance reporting

Ad spend amounts by plan tier are specified in Section 7. Clients may invest additional ad budget beyond the minimum included in their plan; contact CornerClicks to discuss expanded budget management.

Client Responsibilities: Clients are responsible for maintaining their own Google Ads and Microsoft Advertising accounts and funding them with the agreed ad spend each month. CornerClicks is not responsible for billing issues on client ad accounts.

Limitation of Liability:

  • We are not responsible for changes in Google’s or Microsoft’s advertising policies, platform interfaces, or algorithm decisions that affect campaign performance.
  • Ad results vary based on market conditions, competition, and factors outside our control. We do not guarantee specific click, lead, or conversion outcomes.
  • All ad copy is subject to Section 6.5 for client review and approval.

14. Social Media Management

Social media management is included in Stay Ahead and Own Your Market plans and available as an add-on for other tiers.

Services include:

  • Content strategy development
  • Custom graphic design for posts
  • Regular posting to up to two social platforms (Stay Ahead) or two or more platforms as agreed
  • Cross-posting of Google Business Profile content to social channels
  • Profile optimization
  • Audience engagement management

Client Responsibilities: Clients must provide accurate business information, brand assets, and any platform login credentials needed to manage accounts. Clients are responsible for providing any content, photos, or videos they want incorporated into posts.

Limitation of Liability:

  • We are not responsible for changes in social media platform policies or algorithms that affect visibility or engagement.
  • All social media content is subject to Section 6.5.
  • We are not responsible for actions taken by third parties, including followers or other platform users.

15. Business Branding

Branding services are included in the Stay Ahead and Own Your Market plans and available as standalone work for other clients.

Services include:

  • Logo design
  • Visual style (color palette, typography, brand standards)
  • Business cards and marketing materials
  • Social media banners and profile graphics
  • Brand messaging development

Client Responsibilities: Clients must provide accurate business information and timely feedback during the design process. Revisions are included within the scope defined at the start of each project; significant scope changes may affect pricing.

Limitation of Liability:

  • We are not responsible for changes in market conditions or public perception that affect the client’s brand reputation.
  • All branding copy and messaging is subject to Section 6.5.
  • We are not responsible for trademark conflicts. Clients are responsible for ensuring their brand identity does not infringe on existing trademarks.
  • We are not responsible for actions taken by third parties, including unauthorized use of the client’s brand assets.

16. Website Hosting & Maintenance

Website hosting and maintenance is included in all monthly plans. Standalone maintenance is available for one-time build clients at $125/month.

Hosting Only services include:

  • Fully managed WordPress hosting on SSD servers
  • SSL certificate
  • Up to five business email accounts at the client’s domain
  • Domain registration assistance
  • Basic server-level security

Basic Maintenance services include (all hosting services, plus):

  • WordPress core and plugin updates
  • Daily backups
  • Uptime monitoring
  • Bug monitoring and repair
  • Broken link fixes

Maintenance + Security & Speed services include (all above, plus):

  • Advanced three-point website security (hosting, application, DNS)
  • Mobile speed optimization
  • Cloudflare integration
  • Extended backup options

Limitation of Liability:

  • While we strive to provide reliable hosting and maintenance, we are not responsible for outages or technical issues caused by factors beyond our control, including server infrastructure events, third-party plugin conflicts, or force majeure events.
  • We are not responsible for actions taken by third parties, including unauthorized access attempts or cyberattacks, though we take reasonable security measures to prevent them.

17. Intellectual Property

Ownership: All content, design, graphics, code, and intellectual property created by CornerClicks LLC during the course of service are the exclusive property of CornerClicks LLC until full payment has been received from the client. Upon full payment, ownership of these materials transfers to the client, except for any third-party materials used under license.

Third-Party Content: Any third-party content (stock photos, licensed fonts, plugin software, etc.) used in the services remains the property of the respective third-party owners and is subject to their terms of use. The client agrees to abide by the terms of any third-party content integrated into the services.

Trademarks: The client grants CornerClicks LLC the right to use the client’s trademarks, service marks, logos, and other proprietary marks for the sole purpose of providing the agreed-upon services.

Portfolio Use: CornerClicks reserves the right to display work completed for clients in our portfolio and marketing materials unless the client requests otherwise in writing.

18. Confidentiality

Definition: Confidential information includes any information disclosed by one party to the other, in writing, orally, or by inspection, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the disclosure.

Obligations: Both parties agree to keep all confidential information disclosed to them by the other party confidential and not to disclose or use such information for any purpose outside the scope of these Terms without prior written consent.

Exceptions: Confidential information does not include information that becomes publicly known through no breach of these Terms, was in the receiving party’s possession prior to disclosure, is received from a third party without a duty of confidentiality, or is independently developed without reference to the confidential information.

19. Dispute Resolution

Negotiation: In the event of a dispute arising from these Terms or from services provided by CornerClicks, both parties agree to first attempt to resolve the dispute in good faith through direct negotiation for at least thirty (30) days before initiating any legal action.

Arbitration: If the dispute cannot be resolved through negotiation, it shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Santa Clarita, California. The arbitrator’s decision shall be final and binding on both parties.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

20. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than the obligation to pay money) to the extent caused by conditions beyond that party’s reasonable control, including acts of God, government restrictions, wars, natural disasters, internet or infrastructure outages, or any other cause beyond the reasonable control of the affected party.

The party experiencing a force majeure event shall notify the other party promptly and shall use reasonable efforts to mitigate the effects of such event on its performance.

21. Changes to Terms

We reserve the right to update these Terms at any time. Clients will be notified of significant changes by email or written notice. Continued use of our services after notification of changes constitutes acceptance of the updated Terms.
